Terms of Service & Master Service Agreement
1. Introduction & Acceptance
This page outlines our standard Master Service Agreement (the "Agreement"). By using our payment links, clicking "Pay," or purchasing our services online, you (the "Client") agree to be bound by these terms.
These terms replace the need for a manually signed contract. Your specific service details, fees, and deliverables are defined by the product description and price selected at checkout (contractually referred to as the "Service Order").
2. Parties
This Agreement is between StudioDana Ltd, a company registered in England and Wales with its registered office at 1 Hallgate Road, Sheffield, S10 5GL, and the Client, as identified during the checkout process.
3. Services and Scope
- "StudioDana Services": This Agreement applies to all services provided by us, including but not limited to web design, hosting, maintenance, and marketing (collectively referred to as "StudioDana Services").
- The Service Order: The specific items you are purchasing (your "Service Order") and their pricing are defined strictly by the product description and price selected on the Stripe checkout page. By completing the purchase, you agree that the checkout description defines the scope of the StudioDana Services for your project.
- Service Delivery: Upon successful payment, your project is officially scheduled. You will receive a confirmation email and a "Service Kick-off" invitation within 1 business day. The timeline for project completion will align with the schedule agreed upon in the Service Order.
- Conflicting Terms: If the checkout description conflicts with this general Agreement, the checkout description (Service Order) will take priority for that project only.
4. Fees and Payment
- Payment Terms: You agree to pay the fees set out at checkout. Payments are processed in Pounds Sterling (GBP).
- Refund Policy: All fees are non-refundable unless explicitly stated otherwise in the Service Order.
- Late Payments: For recurring services, if a scheduled payment is more than 14 days late, we may pause services until payment is received. An additional fee of 4% interest per annum above the Bank of England base rate may be added to overdue amounts, calculated daily.
5. Intellectual Property & "Leasing" Model
- Your Content: All content you provide (such as text, images, and logos) remains yours.
- Our Technology: The designs, code, tools, and systems we use to deliver the services remain the property of StudioDana Ltd.
- License to Use: You are effectively leasing the use of the website and supporting infrastructure; you are not buying the code outright. You have a license to use these assets for as long as your Service Order is active.
- Termination: Upon termination of your service, your license is revoked, and the website may be taken down and wiped from our servers.
6. Cancellation & Right to Cancel
- 20-Day Money-Back Guarantee: We want you to be completely satisfied. Although standard statutory cooling-off rights are normally waived when work commences immediately, StudioDana voluntarily provides a 20-day money-back guarantee for this project. If you choose to cancel within 20 days of the contract start date, you are eligible for a full refund of the initial payment, regardless of whether work has commenced.
- Ending the Agreement: You may cancel your service by contacting us. Unless a specific notice period is defined in your Service Order (checkout description), a standard 30-day notice period applies. If you end a fixed-term Service Order early, you may be liable for the remaining fees for that term.
7. Liability
To keep things fair, our total liability to you will not exceed the total fees you have paid us in the three months before any issue arose. We are not responsible for delays caused by events beyond our reasonable control, such as internet outages or third-party service failures.
8. Governing Law
This Agreement is governed by the laws of England and Wales.
